We advised SoftwareMill on its merger with VirtusLab, a portfolio company of Aquiline Capital Partners LLC.
Both companies are Polish technology companies that by merging have strengthened their position as a key partner in the Scala ecosystem and cloud solutions, data science and machine learning. Their common goal is to further develop software services for clients in Western Europe and the US.
Currently, the VirtusLab Group team consists of more than 500 IT professionals, and the combined revenue of VirtusLab and SoftwareMill in 2022 was more than PLN 130 million.
The DSK team, led by Kinga Nowak, consisted of Jan Pabiszczak, Mikołaj Wiza, Piotr Rygorowicz, and Marcin Palusiński and Joanna Łapińska. Our comprehensive transaction advisory services included due diligence – legal and tax, preparation of the tax structure of the transaction, support in issues related to the preparation of transaction documentation, analysis of documentation related to project management, and preparation and negotiation of the agreement. After the transaction was completed, we did all the work to implement post-merger actions and remain in close cooperation with the group.
